These Terms of Use (“Terms”) govern your access to and use of the website located at https://naviautotransport.com/ and related services (collectively, the “Site” and “Services”).
The Site and Services are owned and operated by Navi Transport Services LLC, a Delaware limited liability company, doing business as “Navi Auto Transport” (“Navi,” “Company,” “Broker,” “we,” “us,” or “our”).
By accessing or using the Site or Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Site.
If you book transportation services, additional terms apply as set forth in our Customer Broker Agreement / Booking Terms & Conditions, which are incorporated herein by reference.
If you use the Site or Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.
1. Broker Status Disclosure
Navi Transport Services LLC is a federally licensed property broker. Navi is not a motor carrier and does not transport vehicles.
All transportation services are performed by independent third-party motor carriers. Navi does not own trucks, trailers, or transport equipment.
By using our Services, you acknowledge and agree that Navi acts solely as a transportation broker arranging shipment and is not responsible for the acts, omissions, negligence, or misconduct of any motor carrier.
2. Modification of Terms
We reserve the right to modify these Terms at any time. Updated Terms become effective upon posting. Continued use of the Site constitutes acceptance of revised Terms.
3. Service Description
The Services include quoting tools, brokerage services, communication tools, website content, software, reports, data, text, images, and related technologies.
We may modify, suspend, or discontinue any part of the Services at any time without notice.
4. Privacy
Your use of the Site is subject to our Privacy Policy.
5. Ownership & Intellectual Property
All content on the Site is owned by Navi or its licensors and protected by copyright, trademark, and other intellectual property laws.
No ownership rights are granted through use of the Site.
6. Feedback
If you submit ideas, suggestions, or feedback (“Feedback”), you grant Navi a worldwide, perpetual, irrevocable, royalty-free license to use, modify, distribute, and create derivative works from such Feedback without compensation.
7. Eligibility
You must be at least 18 years old to use the Services. The Site is not intended for children under 13.
8. Permitted Use
You are granted a limited, revocable, non-exclusive license to access the Site for lawful purposes only.
You agree not to:

We may terminate access at our discretion.
9. Third-Party Services
The Site may integrate with third-party services. Navi is not responsible for third-party services, and your use of such services is governed by their terms.
10. Mobile Services
Certain features may be accessible via mobile devices. Standard carrier charges may apply.
11. Communications Consent (Calls, SMS, Artificial Voice & Automated Technology)
By providing your phone number and engaging with our Site or Services — including requesting a quote, placing an order, submitting a form, or communicating with us — you expressly consent to receive:

Pre-recorded voice messages

Artificial or AI-generated voice communications

Calls made using an automatic telephone dialing system (ATDS) or similar automated technology
from Navi and its representatives for purposes including:

Shipment updates

Order confirmations

Billing communications

Customer service
-
Marketing or promotional communications
You understand that these communications may be made using automated systems, artificial intelligence technology, prerecorded voice, or artificial voice technology.
Consent is not a condition of purchase.
You may withdraw consent at any time by replying “STOP” to text messages or contacting us directly.
Standard message and data rates may apply.
12. Do Not Call (DNC) Policy
We comply with the Telephone Consumer Protection Act (TCPA) and National Do Not Call Registry requirements.
We maintain an internal Do Not Call list and honor opt-out requests within 30 days.
Transactional calls related to active shipments, billing, or service updates are exempt from DNC restrictions.
13. Payment Authorization
By providing payment information, you represent and warrant that you are authorized to use the payment method and authorize Navi to charge agreed amounts.
You agree not to initiate chargebacks without first contacting Navi to attempt good faith resolution.
If a chargeback is initiated in bad faith, you agree to reimburse Navi for associated fees, arbitration costs, collection costs, and attorney’s fees.
14. Force Majeure
Navi shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to weather, natural disasters, traffic conditions, mechanical failures, labor disputes, carrier delays, or governmental actions.
15. Disclaimer of Warranties
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
NAVI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
NAVI’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THE SITE OR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO NAVI FOR THE SPECIFIC SHIPMENT GIVING RISE TO THE CLAIM.
17. Time Limitation on Claims
Any claim arising out of or relating to the Site or Services must be filed within one (1) year from the date the claim arose.
Claims filed after this period are permanently barred.
18. Indemnification
You agree to defend, indemnify, and hold harmless Navi and its affiliates from claims arising from:

Your violation of these Terms

Your misuse of the Services

Your breach of payment obligations
19. Binding Arbitration and Class Action Waiver
PLEASE READ CAREFULLY — THIS AFFECTS YOUR LEGAL RIGHTS.
This agreement is governed by the Federal Arbitration Act (FAA).
Any dispute arising out of or relating to these Terms or the Services shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
Arbitration shall take place in Wilmington, Delaware.
YOU AND NAVI WAIVE THE RIGHT TO A TRIAL BY JURY.
YOU AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
The arbitrator may not consolidate claims.
If the class action waiver is found unenforceable, the arbitration provision shall be null and void.
20. Governing Law
These Terms are governed by the laws of the State of Delaware and applicable federal law.
21. Electronic Communications
You consent to receive communications electronically. Electronic agreements satisfy legal writing requirements under the federal E-SIGN Act.
22. Marketing
Navi may reference your company name and logo as a customer unless you request removal in writing.
23. Relationship of Parties
Nothing in these Terms creates a partnership, joint venture, or employment relationship.
24. Severability
If any provision is found unenforceable, the remaining provisions remain in full effect.
25. Waiver
Failure to enforce any provision does not constitute waiver.
26. Survival
Provisions relating to arbitration, limitation of liability, indemnification, payment obligations, and governing law survive termination.
27. Entire Agreement
These Terms constitute the entire agreement between you and Navi regarding use of the Site and Services and supersede prior communications.
